Affiliate Program Terms

These Terms and Conditions ("Terms") govern your participation in the GemPixel Affiliate Program (the "Program"), operated by GemPixel ("GemPixel," "we," "us," or "our"). By signing up for an affiliate account, you ("Affiliate," "you") agree to be bound by these Terms.

1. Eligibility

1.1 You must be at least 18 years old and able to enter into a legally binding agreement to join the Program.

1.2 Enrollment is free. There is no cost to join and no inventory or technical setup required.

1.3 GemPixel reserves the right to approve, decline, or remove any applicant or Affiliate from the Program at its sole discretion, at any time.

2. How the Program Works

2.1 Upon approval, you will receive a unique referral link and affiliate code to promote GemPixel products and services.

2.2 You may share your referral link on your website, blog, newsletter, social media, tutorials, or other channels, provided such promotion complies with these Terms and applicable law.

2.3 You can track your referrals, sales, and payouts through your affiliate dashboard.

3. Commission

3.1 You earn 20% commission on qualifying purchases made by customers who use your referral link.

3.2 Commission applies only to a customer's first purchase. Subsequent purchases by the same referred customer are not eligible for additional commission, unless otherwise stated by GemPixel in writing.

3.3 GemPixel may change commission rates or structure at any time, with changes applying to future referrals from the date of change onward.

4. Referral Tracking

4.1 Referrals are tracked using a cookie that remains active for 30 days from the date a visitor first clicks your referral link.

4.2 If a referred visitor completes a qualifying purchase within the 30-day tracking window, the sale is attributed to you, subject to the rules in this Agreement (e.g., no self-referrals, no conflicting affiliate claims).

4.3 GemPixel is not responsible for lost or unattributed referrals due to cleared cookies, ad blockers, browser settings, or other technical limitations outside our control.

5. Payouts

5.1 The minimum payout threshold is $50.00. Earnings below this threshold will roll over to future periods until the threshold is met.

5.2 Approved payouts are issued via PayPal, unless another method is agreed in writing.

5.3 Commission is only payable on qualifying purchases — i.e., completed, non-refunded, non-cancelled, and not made fraudulently or in violation of these Terms.

5.4 GemPixel reserves the right to withhold, reverse, or deduct commission for refunded, charged-back, cancelled, or fraudulent transactions.

6. Affiliate Conduct

As an Affiliate, you agree that you will NOT:

• Use spam, unsolicited bulk email, or misleading messaging to promote your referral link.
• Bid on GemPixel's trademarked terms (e.g., "GemPixel") in paid search advertising.
• Make false, misleading, or unauthorized claims about GemPixel's products, pricing, or services.
• Refer yourself, or create accounts/purchases for the purpose of generating self-commission.
• Use cookie-stuffing, forced clicks, bots, incentivized clicking, or any other fraudulent or deceptive method to generate referrals.
• Promote GemPixel on websites containing illegal, hateful, adult, or otherwise inappropriate content.
• Impersonate GemPixel or suggest you are an employee or official representative of GemPixel, unless authorized in writing.

Violation of this section may result in forfeiture of unpaid commissions and immediate termination from the Program.

7. Intellectual Property

7.1 GemPixel grants you a limited, non-exclusive, revocable license to use GemPixel's name, logo, and approved marketing materials solely for the purpose of promoting the Program.

7.2 You may not modify GemPixel's logos or branding, or use them in a way that implies a partnership, endorsement, or relationship beyond participation in the Program.

7.3 This license ends immediately upon termination of your affiliate account.

8. Relationship of the Parties

You are an independent participant in the Program, not an employee, agent, partner, or joint venturer of GemPixel. You are solely responsible for any taxes owed on commissions earned, and for complying with applicable laws (including disclosure laws, such as identifying your links as affiliate/referral links where required, e.g., FTC guidelines in the U.S.).

9. Term and Termination

9.1 Either party may terminate participation in the Program at any time, for any reason, with or without notice.

9.2 Upon termination:

• Your referral link will be deactivated.
• Commission already earned on qualifying, completed purchases prior to termination will still be paid out, subject to the minimum payout threshold and standard review for fraud or violations.
• No further commission will accrue from new referrals after the termination date.

9.3 GemPixel may suspend or terminate any Affiliate account immediately if it reasonably believes these Terms have been violated.

10. Changes to the Program

GemPixel may modify these Terms, commission rates, payout thresholds, cookie duration, or any other aspect of the Program at any time. Continued participation in the Program after changes take effect constitutes acceptance of the updated Terms. Material changes will be communicated where reasonably possible (e.g., via email or dashboard notice).

11. Limitation of Liability

GemPixel is not liable for any indirect, incidental, or consequential damages arising from your participation in the Program, including but not limited to lost commissions due to technical issues, tracking errors, or third-party platform failures. GemPixel's total liability under this Agreement is limited to unpaid, qualifying commissions owed to you.

12. Governing Law

These Terms are governed by the laws applicable in the jurisdiction where GemPixel operates, without regard to conflict-of-law principles, unless otherwise required by local law.
